November 17, 2021 Regular Board Meeting Minutes
- Meeting called to order at 5:34pm. All attending via Zoom. Board members in attendance: Jim Williams, Dave Miller, Leland Rich, Patrick Endres, Kendi Adams. A quorum was present. Also present: Brian Taylor, Rodney Gaskins, Ti Ames
- Opening Prayer (Brian)
- Meeting Agenda. MSP Leland, Patrick. Approved with reorder and addition of the following items:

- Board Housekeeping
- Ti Ames introduced herself to the board. Q&A with board members.
- Thank you notes, signatures – please swing by the FYA office and sign in the next few days

- Patrick Endres – last board meeting today – we did a recognition & send off. Thank you, Patrick!
- Financial Reports
- Balance Sheet & Income Statement & budget performance reports from QuickBooks not ready. We are making progress with getting books back in order since move to RJG. Jocelyn is processing all financial transactions and payroll from the FYA offices, and most of the 2020 expenses and revenues coded “Ask Client” have been resolved.

- Counseling Services Line of Business Plan Presentation – Rodney presented 1st draft draft business plan for counseling services line of business. Rodney advised to focus on communication message. He reviewed potential funding and income sources. He advised that there is a huge market need in Fairbanks and in Alaska for the types of services in the plan. He discussed potential partnerships. Rodney and Brian to wrap up the details in the workplan timeline for full implementation. Board had a Q&A with Rodney. Board will meet back in January to take action on the plan. Kendi will be the Board Champion for the decision on this initiative.
- Discussion & decisions on outstanding policy questions. MSP Jim/Leland. Board Adopted the Updated Financial Policies . Policy will be posted on the board blog.
- 2020 IRS 990 filing was done on November 15th. Board has been sent a copy of the 2020 990 and asked to review and bring questions back to the December 2021 Board Meeting.
- (Carry forward) CDBG close out with City of Fairbanks
- New Business
- Leland presented 2nd-look at FY22 budget. He reviewed expected revenues and expenses. Projecting a $200K deficit. Brian and Kayla are working on development activities to generate donation revenue. Sam recognized $217K in IRS Tax credits we are eligible for due to FYA not taking CARES or PPP loans in 2020/2021. Board advised Leland and Brian to recognize the $217K as revenue in 2022 and use fund balance to balance 2022 budget. Board to take final action on 2022 budget in December.
- Brian updated the board on our insurance coverage. Brian and Leland conducted a review of coverage on assets and other risks. Brian sent out the policy review summary and other insurance quote documents. Jim had a question about D&O coverage amounts. Additional comments or questions need to be submitted to Brian and Leland November 24th so they can submit the payment and have coverage on December 1st.
- Resolution – 990 Filing Delegation to Brian. MSP Dave, Patrick. Motion passed.
- 2021 Budget amendment – request from staff to purchase lease a copier MFD device from Konica/Minolta and subsequent monthly fees ($7,600 for printer and monthly fees). MSP Patrick/Kendi. Passed.
