2. Joyce opened the meeting at 5:30pm via Zoom. A quorum was present.
3. Meeting was requested by board members on July 16, 2020. RE: discuss the recent listing for sale of the neighboring property at 114 10th Avenue.
4. Alnise gave a staff report and presented a brief business plan regarding the potential purchase and expected use and operating expenses of the building. Asking price: $149,000. Annual operating expenses less than $5,000. Source of funds would be the Yochem Fund (Balance: $260,161.62 Zoning is the same as the shelter and Clear Water buildings – Multi Family/Office. Expected use of facility would be to create additional space for a mediation, counseling and intervention, admin office for the ED, meeting space for the staff.
5. Board discussed multiple potential uses, risk related to building condition and zoning. Was determined by board that purchase would be in alignment with master expansion plan, funds to purchase are available, would result in needed increased capacity, the current owner is mindful of our expansion intent, building seems to be in good shape and can be immediately occupied. Mary Lee was consulted and thinks this is a good and appropriate move.
6. MSR (Miller/Williams): prepare a earnest money agreement to purchase the building at full $149,000 asking price, with contingency that FYA official has 2 weeks to inspect the building. Dave Miller would be purchase POC and oversee the sale and deed transfer. Have an attorney review the sale and transfer agreements. Vote: unanimous (4-0)
7. Board will re-convene to approve sale terms and authorize ED to close the transaction at a date TBD.

I inspected the house, in my opinion, it is completely serviceable for our needs. The significant items on the engineer’s report have been dealt with. The minor ones are not really relevant to us, since we are not planning to use it as a home (egress windows, etc.).
I am in favor of moving forward with the purchase. From conversations with our ED, we will be able to immediately use the building as space for counseling, offices, etc. No doubt there will be minor items that will need attention, maybe changing paint color in a room or adding locking doors, etc. We should know that some expenses will come up as we get moved in.
To summarize:
1. Our overall plan is to own contiguous property to enlarge our “campus”.
2. Funds were donated specifically for this purpose.
3. We have immediate use for the building, possibly enhancing our revenue stream due to adding additional counselors to Clearwater Counseling.
4. The building is older but in good condition.
5. We will approach FNSB about giving us an exemption on property taxes since it will be actively used as a part of Fairbanks Youth Advocates.
Right now, unless board members object to the purchase, we need to agree on a resolution that allows me to sign on behalf of FYA, for the purpose of purchasing the property.
I am not 100% certain on the actual closing costs, but it should be about $1,000.00 in addition to the purchase price of $149,000.

I spoke with Dave Miller and he said that the inspection and engineer reports have come back great. All expensive items such as sewer line, roof, and furnace are in good condition or have been updated. He is willing to sign on behalf of FYA with Yukon Title if we can submit a corporate resolution. Based on the inspection, I make a motion to move forward with the purchase of the property 114 10th Ave and have Dave sign on behalf of FYA.

I met with the Realtor today and made an offer on the house. She was very helpful.
We have two weeks to inspect and evaluate the house. The Realtor provided an engineer’s report that the owner requested. Many of the items that needed attention have already been complete.
Many of the items apply to using the property as a home (egress windows for bedrooms, etc.).
I plan to look at the property early next week to verify the information in the engineer’s report.
If any board members want to take a look as well, feel free to contact me, I’m sure we can make it happen. I will contact the attorney when it is appropriate for him to review.
